Welcome to the websites and web applications operated by Forefront General Contracting, LLC ("Forefront," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website at forefrontgc.com and any related web applications, portals, or digital tools we operate (collectively, the "Services").

By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

"User" refers to any individual who accesses or uses our Services, including but not limited to employees, subcontractors, suppliers, clients, and general website visitors.

"Authorized User" refers to any employee, subcontractor, or supplier who has been granted login credentials to access restricted areas of our web applications or portals.

"Content" refers to all text, images, data, documents, and other materials available through or submitted to our Services.

2. Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal authority to enter into these Terms.

3. User Accounts and Access

Certain features of our Services require you to create an account or receive login credentials from us. If you are provided with an account, you agree to:

  • Provide accurate, current, and complete information during registration or when requested

  • Keep your login credentials confidential and not share them with any third party

Authorized Users may have access to confidential business information through our web applications, including but not limited to project details, bid information, pricing data, schedules, financial documents, and employee or subcontractor information. You agree to:

  • Use confidential information only for its intended business purpose in connection with your work with Forefront

  • Not disclose, share, or distribute confidential information to any unauthorized third party

  • Take reasonable measures to protect confidential information from unauthorized access or disclosure

This obligation survives the termination of your account and/or your business relationship with Forefront.

6. Intellectual Property

All content, features, functionality, software, designs, and trademarks associated with our Services are the property of Forefront General Contracting, LLC or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, or publicly display any content from our Services without our prior written consent.

Any content, data, or materials you submit through our Services remain your property. However, by submitting content, you grant us a non-exclusive, royalty-free license to use, store, and process that content as necessary to operate and improve our Services.

7. Website Content and Accuracy

The information provided on our website and through our Services is for general informational purposes only. While we strive to keep the information accurate and up to date, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, or suitability of the information.

Any descriptions of services, project capabilities, or past work on our website are provided for reference only and do not constitute a guarantee of specific results.

Our Services may integrate with or contain links to third-party websites, platforms, or services, including but not limited to:

  • Twilio – for SMS/text messaging and communication services

  • Vercel – for web application hosting

  • Wix – for website hosting

  • Google Analytics – for website usage analytics

  • Supabase – for application database and authentication services

We do not control and are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is governed by their respective terms and policies. We encourage you to review the terms of any third-party service you interact with through our Services.

9. SMS and Text Message Communications

By providing your phone number to Forefront, you consent to receive SMS/text messages related to business operations, including project updates, scheduling, safety notifications, and other operational communications. Message frequency varies. Message and data rates may apply.

You may opt out of receiving text messages at any time by replying STOP to any message or by contacting us directly. Opting out of text messages may affect our ability to communicate time-sensitive information to you.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOREFRONT GENERAL CONTRACTING, LLC, ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US, IF ANY, FOR ACCESS TO THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Forefront General Contracting, LLC, its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of our Services, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We reserve the right to terminate or suspend your access to our Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Any provisions of these Terms that by their nature should survive termination shall continue in effect, including but not limited to confidentiality obligations, intellectual property rights, disclaimers, and limitations of liability.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the use of our Services shall be resolved in the state or federal courts located in Salt Lake County, Utah, and you consent to the personal jurisdiction of such courts.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective when posted to our website. For Authorized Users, we may also provide notice of material changes via email or through our web applications. Your continued use of our Services after any changes constitutes acceptance of the updated Terms.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Forefront General Contracting, LLC regarding your use of our Services. These Terms do not alter, amend, or replace any separate written contracts you may have with Forefront for construction services, subcontract agreements, or supply agreements.
